Job Description

Fenix is seeking a highly motivated, entrepreneurial General Counsel to help facilitate effective,efficient, and scalable growth. As General  Counsel, you will join Fenix as a founding member of the Fenix legal team and will report to the CFO.

The Fenix General Counsel will work closely with the finance, commercial, talent, and executive teams to ensure that Fenix maintains legal compliance, marries strong legal agreements to facilitate operations, and unlocks catalytic financing and commercial partnerships across Africa. In addition, the General Counsel will provide advice on legal issues, support business strategy development and liaise with ENGIE legal and local counsel as needed.

In a dual role as General Counsel & Ethics Officer, this team member will be responsible for overseeing compliance with Fenix and ENGIE’s ethics policies and local ethics laws. This presents an opportunity to work with a talented, welcoming, multicultural team operating across multiple countries while helping Fenix create innovative customer and team-driven policies and strategies in pursuit of our goals. Your work will be primarily based in the Uganda office, though this role may involve travels within Africa and Europe.


Key Responsibilities 

General Legal

  • Engage with the management team to provide strategic legal advice to support Fenix’s growth, anticipate issues, estimate risks, and craft solutions to eliminate or mitigate risks
  • Draft, negotiate and review legal documentation for Fenix’s various projects and operations
  • Provide advice on disputes arising in relation to Fenix’s operations across Africa
  • Provide legal advice to the commercial teams on regulatory and local laws, coordinating with local counsel as needed
  • Craft and monitor internal governance policies, taking into account the impact of external factors on the business
  • Ensure that Fenix is in compliance with all material local laws and regulations throughout all jurisdictions within which Fenix operates. Furthermore, ensure that regulatory filings are up to date and accurately filed
  • Maintain current knowledge of updates to legislation throughout all jurisdictions within which Fenix operates
  • Help develop and implement corporate structures as we open offices in new markets, which include coordinating incorporation, regulatory compliance and real estate leases
  • Engage and manage external counsels, control the quality of services performed and monitor their cost
  • Support IP development and monitor trademark/patent registrations
  • Provide advice in relation to corporate governance matters for Fenix’s entities, including board meetings, shareholder meetings and director appointments/resignations


  • Serve as the founding member and Legal Team Leader responsible for building an industry leading in-house legal function within Fenix by managing a legal team hiring strategy and additional in-house legal resources as appropriate
  • Lead innovative, legally-compliant talent policy development, including employee, contractor and agent contracts, employee equity program, benefits analysis and formalization

Consumer Finance

  • Lead development of customer lease and financial agreements for new and existing products, with external legal guidance in new countries as needed
  • Support debt raising efforts across term loans, structured finance and other innovative financing vehicles

Corporate Finance and Business Development

  • Support the corporate finance team in debt fund structuring and contracting with debt funders (includes debt documentation such as loan agreement and security agreements)
  • Support new and existing partnership development, including preliminary deal documentation such as memorandum of understanding, letters of intent and non-disclosure agreements
  • Strong commercial experience including understanding Contracts Management principles and ability to craft and implement legal policies and training, as well as experience reviewing, revising, drafting, negotiating, and advising on sophisticated and complex contracts, such as sales agreements, marketing/advertising, technology, partner, and vendor agreements


  • Act as Ethics Officer, overseeing compliance with Fenix and ENGIE’s ethics policies and local ethics laws
  • Develop template ethics clauses for inclusion in key agreements, including partnerships, procurement and services agreements
  • Encourage a culture of compliance with laws and integrity across Fenix’s operation
  • Ensure compliance with internal policies and procedures issued by ENGIE, monitor and report non-compliance with policies or procedures, pending or threatened violations of law or ethical values of the ENGIE group



  • Exceptional academic credentials
  • Admitted into and in good standing with at least one Bar Association
  • 5-10 years of legal experience
  • Large law firm experience and/or in-house legal department
  • Experience in corporate law, commercial law, structured finance, and employment law
  • Experience in UK (Commonwealth), French, OHADA and American law
